This template Copyright Licence Agreement – Fabric should be used when an artist who owns all rights and interests including copyright in an artwork (the Artwork) wants to grant a licensee an exclusive licence to reproduce the artwork in connection with the manufacture, importation, distribution, promotion, advertising and sale of printed fabric (the Fabric). The licence includes the right to adapt the Artwork into designs that can be printed as a repeating pattern onto Fabric under certain conditions (the Designs).

It is important to note the exclusive nature of this agreement. If the artist does not own all rights and interests including copyright in the artwork that a licensee seeks an exclusive licence to reproduce, this agreement will not be appropriate.

This template agreement:

  • includes the most common terms that the copyright owner of the image (Artist) and the person wanting to reproduce the image (Licensee) need to consider and agree to; and
  • involves an exclusive licence of copyright in the artwork (this must be in writing and signed to be valid). The artist permits reproduction of the artwork only for the uses set out in the agreement, and only to the exclusive licensee (Licensee).
